1. Eligibility & accounts
You must be at least 18 years old and capable of forming a binding contract. You are responsible for the accuracy of your registration information, for safeguarding your credentials, and for all activity under your account. Notify us immediately of any unauthorised use.
2. The Service
PagerCo ingests alerts from monitoring tools, deduplicates and routes them, resolves on-call responsibility via schedules and escalation policies, and delivers notifications across channels (email, SMS, WhatsApp, voice, Slack and others). We may add, change or remove features over time.
3. Subscriptions, fees & billing
- Per-seat pricing. Paid plans are billed per seat. You may add seats at any time; added seats are charged at the then-current per-seat price.
- Billing cycle. Fees are billed in advance for the chosen period (monthly or annual) and are payable via our payment processors (Razorpay for INR, Stripe for USD).
- Usage bundles & overage. Each paid plan includes per-seat monthly bundles of metered channels (SMS, WhatsApp, voice, AI). Usage beyond the bundle on plans that permit overage is billed at the published overage rates.
- Taxes. Fees are exclusive of taxes (including GST). You are responsible for all applicable taxes other than taxes on our income.
- Non-payment. We may suspend or downgrade the Service for overdue amounts after notice.
- Refunds & cancellation are governed by our Refund & Cancellation Policy.
4. Free trial
New organisations receive a 30-day free trial. At the end of the trial you must select a paid plan to continue; unpaid organisations may be limited, suspended or deleted. Trial usage bundles are fixed totals and are provided for evaluation only.
5. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy. You must comply with all applicable laws, including telecom and anti-spam regulations (e.g. India’s TRAI/DLT requirements) for messages you cause the Service to send. You are solely responsible for the recipients, content and consent basis of notifications you configure.
6. Customer data & ownership
As between the parties, you own all data you submit to the Service (“Customer Data”). You grant us a worldwide, non-exclusive licence to host, process and transmit Customer Data solely to provide and improve the Service and as described in our Privacy Policy and Data Processing Agreement. You are responsible for the accuracy and legality of Customer Data and for having the rights and consents necessary to process it (including the contact details of your responders).
7. AI features — important
The Service uses artificial intelligence (including third-party models) to summarise incidents, suggest root causes and draft postmortems. AI output is generated automatically, may be inaccurate, incomplete or misleading, and must not be relied upon as the sole basis for any decision. You are responsible for independently verifying AI output before acting on it. We make no warranty as to the accuracy of AI-generated content.
8. Notification delivery — important
Notifications are transmitted through third-party carriers and networks (telecom operators, email providers, messaging platforms) that we do not control. We do not guarantee that any alert, page or notification will be delivered, delivered on time, or received by the intended recipient. Delivery may be delayed or fail due to carrier issues, device settings, network outages, incorrect contact details, do-not-disturb settings, spam filtering or force-majeure events. The Service is a supplementary tool and must not be your only means of detecting or responding to critical events. To the maximum extent permitted by law, PagerCo is not liable for any loss arising from a missed, delayed or undelivered notification.
9. Third-party services
The Service integrates with third-party products (e.g. monitoring, chat and payment providers). Your use of those products is governed by their own terms, and we are not responsible for them. A current list of our subprocessors is available at /subprocessors.
10. Intellectual property
The Service, including all software, designs and content (excluding Customer Data), is owned by PagerCo or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, reverse-engineer, resell or create derivative works except as permitted by law. Feedback you provide may be used by us without restriction.
11. Availability
We aim for high availability but do not guarantee uninterrupted access. Maintenance, updates and factors beyond our control may cause downtime. Any service-level commitments apply only where expressly agreed in a signed order form or enterprise agreement.
12. Warranties disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO PAGERCO FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. These limitations apply notwithstanding the failure of any limited remedy.
14. Indemnification
You will defend, indemnify and hold harmless PagerCo, its affiliates and personnel from any claims, damages and costs (including reasonable legal fees) arising from: (a) your Customer Data; (b) your use of the Service in violation of these Terms, the Acceptable Use Policy or applicable law; or (c) notifications you cause the Service to send (including without required consent).
15. Suspension & termination
You may cancel at any time as described in the Refund & Cancellation Policy. We may suspend or terminate your access for material breach, non-payment, legal risk, or misuse, with notice where practicable. On termination, your right to use the Service ceases; we will make Customer Data available for export for a limited period and then delete it in accordance with the Privacy Policy.
16. Changes to these Terms
We may update these Terms. For material changes we will provide reasonable notice (e.g. by email or in-app). Continued use after changes take effect constitutes acceptance.
17. Governing law & disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to any mandatory law, the courts at Bengaluru, Karnataka, India have exclusive jurisdiction, and the parties may agree to resolve disputes by arbitration seated at Bengaluru, Karnataka, India under the Arbitration and Conciliation Act, 1996.
18. General
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or successor.
- Severability & waiver. If any provision is unenforceable, the rest remains in effect; no waiver is implied by non-enforcement.
- Entire agreement. These Terms (with the policies referenced) are the entire agreement between the parties regarding the Service.
